1. Introduction to the Services

These terms and conditions create a contract (“Agreement”) between you (“Buyer” or “User”) and Digital Empire, operating as Receptionista, and govern your use of the Services.

Paddle.com is the Merchant of Record and authorized reseller of our digital products, which means that you purchase the Product from Paddle using the Services, but the Product is licensed to you by Digital Empire.

By placing an order with Paddle on our behalf, you agree to the terms and conditions set out in both this Agreement and Paddle’s Buyer Terms.

WHERE A PRODUCT IS DIGITAL CONTENT WHICH IS IMMEDIATELY MADE AVAILABLE, BY ACCESSING OR OTHERWISE ACQUIRING THE PRODUCT, YOU CONSENT TO IMMEDIATE PERFORMANCE OF THIS AGREEMENT AND ACKNOWLEDGE THAT YOU WILL LOSE YOUR RIGHT OF WITHDRAWAL FROM THIS AGREEMENT ONCE ACCESS TO THE DIGITAL CONTENT HAS BEGUN.

2. Definitions

• “Digital Empire” means the company operating the Receptionista platform, also referred to as “us”, “we”, and “our”.
• “Product” means the Receptionista software and digital services licensed for use by the Buyer.
• “Services” means Digital Empire’s services through which you can subscribe to or purchase Receptionista products.
• “Transaction” means acquiring the Product via our Services, whether on a free trial or for a charge.
• “Minutes” means the units of AI receptionist conversation time consumed by your account, whether included in a plan or purchased as an add-on pack.

3. Service Description

Receptionista is a digital platform operated by Digital Empire that uses AI technology to act as a virtual receptionist for businesses. The Service can answer enquiries, respond to frequently asked questions, capture customer details, and book appointments on your behalf, drawing on the business information, FAQs and knowledge base content that you provide. The Service is provided on a subscription basis with various pricing tiers.

4. Subscription & Billing

• Subscriptions are billed monthly based on your selected plan.
• All plans begin with a 14-day free trial. You will not be charged until the trial period ends.
• Starter subscribers receive 200 included minutes per month, 1 location and 2 team seats.
• Professional subscribers receive 800 included minutes per month, 3 locations and 10 team seats.
• Business subscribers receive 2,500 included minutes per month, 10 locations and unlimited team seats.
• Included minutes reset at the start of each billing period and do not roll over.
• Add-on minute packs are one-time purchases. Purchased add-on minutes do not expire and are consumed only after your included monthly minutes are exhausted.
• If you enable Auto-Refill, you authorise us to automatically purchase your selected add-on minute pack when your balance runs low, so that your service is not interrupted. You may disable Auto-Refill at any time in your billing settings.
• Optional one-time setup and onboarding services are charged separately and are non-recurring.
• You may cancel your subscription at any time through your account settings.
• Upon cancellation, you retain access until the end of your current billing period.

All payments are processed securely by Paddle, our authorized payment provider. By making a purchase, you also agree to Paddle’s terms of service.

5. User Responsibilities

• You are responsible for maintaining the confidentiality of your account credentials.
• You agree not to use the Service for any illegal or unauthorized purpose.
• You are solely responsible for the business information, FAQs, knowledge base content and agent instructions you provide, and for ensuring they are accurate and lawful.
• You are responsible for ensuring that your use of the Service complies with all applicable laws governing automated communications, recording, consumer protection and privacy in your jurisdiction, including obtaining any consents or providing any disclosures required from the people who interact with your AI receptionist.
• You must not use the Service to impersonate any person or organisation other than the business you are authorised to represent.
• You are responsible for reviewing appointments, messages and customer records generated by the Service before relying on them for business-critical decisions.

6. Intellectual Property

Content generated through Receptionista for your business is yours to use. However, Digital Empire retains all rights to its underlying technology, algorithms, models and platform features. You may not reverse engineer, copy, or redistribute any part of our Service.

7. Disclaimer of Warranties

The Service is provided “as is” without warranties of any kind. We do not guarantee that AI-generated responses will be accurate, complete, or suitable for every enquiry, and we do not guarantee any particular increase in bookings, conversions, or revenue. The Service is an assistive tool and is not a substitute for professional, legal, medical, or financial advice, nor for emergency services. Results may vary based on numerous factors outside our control.

8. Limitation of Liability

Digital Empire shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service, including missed, mishandled or incorrectly recorded enquiries and appointments. Our total liability shall not exceed the amount paid by you in the twelve months preceding the claim.

9. Termination

If you fail, or Digital Empire suspects that you have failed, to comply with any of the provisions of this Agreement, Digital Empire may, without notice to you: (i) terminate this Agreement; and/or (ii) terminate your licence to the Product; and/or (iii) preclude your access to the Services.

10. Modifications to Terms

Digital Empire reserves the right at any time to modify this Agreement and to add new or additional terms or conditions on your use of the Services. Such modifications and additional terms and conditions will be communicated to you and, if accepted, will be effective immediately.

11. Governing Law

This Agreement and the relationship between you and Digital Empire shall be governed by applicable law. Any disputes arising out of or in connection with this Agreement shall be resolved in accordance with applicable dispute resolution procedures.
